Notice of Transition to Company with Audit and Supervisory Committee

Isuzu Motors Limited (headquartered in Shinagawa, Tokyo; Masanori Katayama, President and Representative Director; hereinafter Isuzu) announces that at a Board of Directors Meeting held today, a resolution was passed to transition from a Company with a Board of Company Auditors to a Company with an Audit and Supervisory Committee subject to approval at the 119th Annual General Meeting of Shareholders to be held at the end of June 2021.

  1. 1Purpose of Transition

    Isuzu has committed to improving and strengthening its corporate governance to pursue sustainable growth and enhanced corporate value. In addition to making corporate decisions more logically and quickly through enhanced deliberation at the Board of Directors meeting and fortifying the Board's supervisory functions, Isuzu has decided to change its governance structure to a Company with an Audit and Supervisory Committee composed of executive directors in order to make a more clear distinction between supervision and execution in management by further delegating executive authority from the Board of Directors to executive directors.

  2. 2Time schedule

    Isuzu plans to transition to a Company with an Audit and Supervisory Committee upon obtaining the approvals of the necessary amendments to the Articles of Incorporation and other related matters at the 119th Annual General Meeting of Shareholders, scheduled to be held at the end of June 2021.
